TERMINATION 

This Agreement between Verily Assist, LLC and the User is subject to termination by either party at any time, under the following conditions: 

Termination by User: You, as the User, may terminate this Agreement at any time. If you wish to terminate your account or discontinue the use of our services, you are encouraged to notify Verily Assist, LLC in accordance with our account cancellation or service discontinuation procedures. 

Termination by Verily Assist, LLC: Verily Assist, LLC reserves the right to immediately terminate your account and access to our services in the following instances: 

A. Unacceptable Conduct: If your conduct, as determined by Verily Assist, LLC in its sole discretion, is deemed unacceptable. This includes, but is not limited to, violations of our policies, misuse of the services, illegal activities, or behavior that is harmful to other users, third parties, or the operational integrity of our services. 

B. Breach of Agreement: In the event of any breach by you of the terms and conditions of this Agreement. 

Effect of Termination: Upon termination, your right to use www.verilyassist.com and all associated services will immediately cease. You should be aware that termination of the Agreement may involve deletion of your information from our live databases as well as any content that you uploaded to www.verilyassist.com using such an account. 

Post-Termination Obligations: Termination of this Agreement does not relieve the User of any obligations to pay any fees or costs accrued prior to the termination and any other amounts owed by the User to Verily Assist, LLC as provided in this Agreement. 

Verily Assist, LLC reserves the right to take any additional actions it may deem appropriate with respect to such conduct, including without limitation, taking legal actions and/or reporting such conduct to law enforcement authorities. 

MISCELLANEOUS 

Entire Agreement: This Agreement, along with any operating rules and policies established by Verily Assist, LLC for www.verilyassist.com, constitutes the entire agreement between Verily Assist, LLC and the User concerning the subject matter herein. This Agreement supersedes all prior agreements, both written and oral, between the parties regarding the subject matter hereof. 

Governing Law: This Agreement is governed by and construed in accordance with the laws of [STATE/PROVINCE, COUNTRY], irrespective of its conflict of law principles. 

Waiver: No waiver by either party of any breach or default under this Agreement shall be deemed to be a waiver of any preceding or subsequent breach or default. Any waiver must be in writing and signed by an authorized representative of Verily Assist, LLC. 

Headings: The section headings used in this Agreement are for convenience only and shall not affect the interpretation of any provisions herein. 

Severability: If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law, including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the Agreement shall continue in effect. 

Amendments: Verily Assist, LLC reserves the right to amend this Agreement at any time, and such amendments will be effective immediately upon posting the revised Agreement on www.verilyassist.com. Notice: Any notice to the User required or permitted to be given under this Agreement will be delivered by email to the email address provided by the User during registration or via a prominent notice on www.verilyassist.com.

Ownership of Trademarks: The Verily Assist, LLC name, its logos, and any other product or service names, designs, logos, and slogans are the trademarks of Verily Assist, LLC Ltd. All rights reserved. These trademarks may not be used without the prior written permission of Verily Assist, LLC Ltd. 

Acknowledgment of Other Trademarks: All other trademarks, logos, product and service names appearing on www.verilyassist.com are the property of their respective owners. Their appearance on www.verilyassist.com does not imply endorsement, sponsorship, or affiliation with Verily Assist, LLC by these respective trademark owners. 

Intellectual Property Rights: The content, arrangement, and layout of www.verilyassist.com, including but not limited to, the images, graphics, photos, logos, videos, audios, text, and software, are the exclusive property of Verily Assist, LLC, protected under copyright and other intellectual property laws. No reproduction, distribution, transmission, modification, or use of this content is permitted without express written consent from Verily Assist, LLC. 

Use of Website Content: The use of any content from www.verilyassist.com on any other website or networked computer environment is prohibited unless expressly permitted by Verily Assist, LLC.
